License Agreement for Digital Product Purchase
This License Agreement (the "Agreement") is entered into between the purchaser (hereinafter referred to as "Licensee") and Bluedrop Solutions IT02350390304 (hereinafter referred to as "Licensor"), the creator and owner of the digital content (hereinafter referred to as the "Product").
1. Definitions
1.1. "Product" refers to the digital files containing the design, artwork, and any associated materials provided by the Licensor.
1.2. "License" refers to the specific rights granted to the Licensee based on their purchase, as detailed further in this Agreement.
1.3. "Deck" refers to a complete set of cards that comprise the game and is inclusive of the so-called "Grand Table of Evaluation."
2. General Terms and Conditions
2.1. Ownership: The Licensor retains all rights, titles, and interests in and to the Product, including all intellectual property rights. The Licensee acknowledges that they are obtaining only a limited right to use the Product as specified in this Agreement.
2.2. Restrictions: The Licensee shall not:
a) Share, sell, sublicense, rent, lease, or otherwise transfer the Product or any rights granted under this Agreement.
b) Sell, rent, or lease the printed copies of the files constituting the Product.
c) Modify, adapt, translate, reverse engineer, decompile, disassemble, or create derivative works based on the Product.
d) Remove, alter, or obscure any copyright, trademark, or other proprietary notices on the Product.
e) Use the Product for any unlawful purpose or in any manner that violates applicable laws or regulations.
2.3. Termination: The Licensor reserves the right to terminate this Agreement if the Licensee breaches any of its terms. Upon termination, the Licensee must cease all use of the Product and destroy any copies in their possession.
3. License Types and Permitted Uses
The Licensee is granted one of the following licenses based on their purchase:
3.1. "Personal" License
This License allows the Licensee to:
a) Print one (1) unique set of cards / Grand Table for personal use.
b) Use the printed cards / Grand Table with friends, family, students, mentors, or other individuals in a non-commercial setting.
Restrictions:
a) The Licensee may not create multiple copies of the deck / Grand Table.
3.2. "Club-100" License (100 Decks)
This License allows the Licensee to:
a) Print up to one hundred (100) complete decks of cards.
b) Use the printed cards exclusively within the chess club that the Licensee represents.
Restrictions:
a) The printed decks must not be distributed outside of the represented chess club.
b) The Licensee may not create more than 100 decks without purchasing an additional license.
3.3. "Club-500" License (500 Decks)
This License allows the Licensee to:
a) Print up to five hundred (500) complete decks of cards.
b) Use the printed cards exclusively within the chess club that the Licensee represents.
Restrictions:
a) The printed decks must not be distributed outside of the represented chess club.
b) The Licensee may not create more than 500 decks without purchasing an additional license.
4. Warranty and Limitation of Liability
4.1. The Product is provided "as is" without warranty of any kind, either express or implied, including, but not limited to, the implied warranties of merchantability and fitness for a particular purpose.
4.2. In no event shall the Licensor be liable for any direct, indirect, incidental, special, exemplary, or consequential damages arising out of the use or inability to use the Product.
5. Governing Law and Jurisdiction
This Agreement shall be governed by and construed in accordance with the laws of Italy. Any disputes arising under or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts located in Italy.
6. Refund Policy
Due to the nature of digital products, all sales are final. No refunds or exchanges will be provided once the digital files have been downloaded. The Licensee has to ensure they have the necessary software and hardware to use these files before making your purchase.
7. Privacy Policy
7.1. The Licensor's collection and use of personal data in connection with the Product is governed by our Privacy Policy, which can be found here.
7.2. By purchasing and using the Product, the Licensee acknowledges that they have read and understood the Privacy Policy and consent to the collection, use, and disclosure of their personal information as described therein.
8.Changes to Terms
8.1. The Licensor reserves the right to modify this Agreement at any time. Any changes will be effective immediately upon posting the updated Agreement on our website.
8.2. The Licensee's continued use of the Product after the posting of any modified Agreement indicates their acceptance of the changes.
8.3. It is the Licensee's responsibility to review this Agreement periodically for changes.
9.Technical Requirements
9.1. The Licensee is responsible for ensuring they have the necessary software and hardware to access and use the Product.
9.2. Minimum requirements:
a) A device capable of viewing PDF files
b) PDF reader software (e.g., Adobe Acrobat Reader, Preview for Mac, or equivalent)
c) Sufficient storage space to download and save the Product files
9.3. For optimal printing quality:
a) A color printer capable of printing on card stock
b) Appropriate card stock paper
9.4. The Licensor does not guarantee compatibility with all devices or software and is not responsible for any issues arising from the Licensee's inability to access or use the Product due to technical limitations.
10. Entire Agreement
This Agreement constitutes the entire Agreement between the parties with respect to the use of the Product and supersedes all prior or contemporaneous understandings regarding such subject matter.
By purchasing and using the Product, the Licensee acknowledges that they have read this Agreement, understand it, and agree to be bound by its terms and conditions.
